These Terms are the governing instrument for every ORGANO partner relationship. The legal architecture was formally reviewed by a qualified Malaysian legal practitioner in version 2.0 (12 May 2026). Version 2.1 updates the commission table, the tier names and the attribution rules to match the programme as it is actually operated, and removes references to named third party service providers. The legal substance of version 2.0 is unchanged.
Jurisdiction: Malaysia (primary), Singapore (elective, per section 16). Governing statutes: Contracts Act 1950, Personal Data Protection Act 2010, Consumer Protection Act 1999, Communications and Multimedia Act 1998, Control of Drugs and Cosmetics Regulations 1984, Food Regulations 1985, Singapore Personal Data Protection Act 2012.
1. Definitions
In these Terms, the following expressions have the meanings assigned below.
- "ORGANO", "we", "our", "us": Fungitech Sdn Bhd, company registration number 202201032914, a company incorporated under the laws of Malaysia, operating the ORGANO brand and its product ranges, of which TYGRON™ is the range currently on sale.
- "You", "Partner", "Affiliate": the individual or legal entity approved by ORGANO to participate in the Programme.
- "Programme": the ORGANO Partner Programme governed by these Terms and the supporting Programme Documents referenced in section 17. The Programme covers every ORGANO product. A Partner's link, code and Tier apply to the whole ORGANO range, including products launched after the Partner is approved.
- "Tier": the classification assigned to a Partner on approval, being one of Clinic and Practitioner, Top Partner, Micro Creator, or Nano Creator, as defined in section 3.
- "Commission": the monetary payment due to you for orders validly attributed to your affiliate link or code, calculated in accordance with section 3.
- "Partner Dashboard": the third party affiliate management platform ORGANO uses to track attribution, ledger commission and administer the Programme.
- "Approved Commission": commission that has cleared the 30 day post fulfilment buffer and is payable in accordance with section 4.
- "Therapeutic Claim": any representation, express or implied, that any ORGANO product prevents, treats, cures, mitigates or manages any disease, disorder or medical condition, as further defined in the Approved Claims Library.
- "Programme Documents": collectively, these Terms, the ORGANO Partner Programme Framework, the Approved Claims Library, the Banned Terms and Compliance Document, the Disclosure Templates, the Hook Angles Document, and the UTM Guide.
2. Eligibility and acceptance
2.1 Age requirement
Participation is strictly limited to persons aged 18 or older at the time of application. Persons under 18 are ineligible, without exception. Under section 11 of the Contracts Act 1950 (Malaysia), minors lack capacity to enter binding agreements, and no parental or guardian consent can cure that incapacity. Where ORGANO has reasonable doubt as to an applicant's age, ORGANO may require a statutory declaration of age, attested by a Commissioner for Oaths, before the account is activated.
2.2 General eligibility
By submitting an application and being approved, you represent and warrant that:
- You are 18 or older and possess full legal capacity to enter binding agreements under the laws of your home jurisdiction.
- All information provided in your application, including follower counts, audience demographics, content category and platform identity, is accurate, complete and not materially misleading.
- Your primary content platform is operated in compliance with that platform's terms of service.
- You will comply at all times with applicable Malaysian law, Singapore law where applicable, and the laws of your home jurisdiction governing advertising, consumer protection, personal data and health product promotion.
- For Clinic and Practitioner partners: you operate a legally licensed medical or pharmacy practice in Malaysia or Singapore as at the date of application, and will notify ORGANO immediately if that licence is suspended, revoked or surrendered.
2.3 Verification and rejection
ORGANO reserves the right, at any time and without liability, to verify any representation made in your application and to reject or terminate any partnership where application information is found to be materially inaccurate. Approval of an application does not waive ORGANO's right to terminate on discovery of a subsequent inaccuracy.
3. Commission structure
3.1 Tier rates
Commission rates applicable to each Tier are set out below. These rates may be amended by ORGANO on 30 days' written notice under section 15. Approved Commissions accrued under rates in force before an amendment remain payable at those prior rates.

Your Tier is assigned by ORGANO on approval and confirmed to you in writing. Tier assignment is not permanent and is reviewed periodically. Where a Tier is changed, the change applies to orders attributed after the date of the change and never retrospectively.
3.2 Calculation basis
Commission is calculated as a percentage of the order subtotal, in Malaysian ringgit for Malaysian orders and in Singapore dollars for Singapore orders, excluding shipping charges, taxes, and any pre checkout discounts applied, including welcome bonus credits and referral credits. No commission accrues on the shipping or tax components of an order.
3.3 Seeding product
Where your Tier entitles you to seeding product, ORGANO will dispatch it within 7 business days of your account activation. Seeding product is provided for review and promotional purposes only, does not constitute remuneration, and does not affect your commission entitlement.
4. Commission buffer, approval and payout
4.1 Buffer period
Commission enters PENDING status when an order is attributed to you. It remains Pending for 30 calendar days from the order fulfilment date (the "Buffer Period"). No commission is payable and no payment obligation arises during the Buffer Period.
4.2 Automatic approval
On expiry of the Buffer Period without a refund event or order cancellation, commission automatically advances to APPROVED status and becomes payable in the next applicable payout cycle.
4.3 Refund and cancellation
If a refund or order cancellation is processed within the Buffer Period, the associated commission is automatically removed from Pending status and no payment obligation arises. This mechanism operates prospectively and is not a clawback of commission previously paid, because no commission will have been paid on that order before the refund event.
4.4 Payout schedule
Approved Commissions are paid monthly as follows.

Where the 7th falls on a weekend or a Malaysian public holiday, payment is made on the last business day before the 7th. You must maintain accurate payment details in your Partner Dashboard, meaning an account name matching your registered identity, the bank name or transfer identifier, and the account number. ORGANO accepts no liability for delayed or misdirected payments arising from inaccurate details you have provided.
4.5 Tax obligations
You are solely responsible for any income tax, withholding tax or other fiscal obligation arising from commission payments received. ORGANO does not deduct tax at source unless required by applicable law to do so. You should seek independent tax advice regarding your obligations.
5. Attribution
5.1 Attribution mechanism
Attribution is determined by the last valid click on an affiliate link within the applicable cookie window before an order is placed, subject to the lifetime overlays below.
- Clinic and Practitioner: a 60 day cookie, plus lifetime attribution with no end date to the partner through whom the customer was first attributed.
- Top Partner: a 60 day cookie, plus lifetime attribution for 2 years from first attribution. After 2 years the customer is attributed to ORGANO and no further commission accrues on that customer.
- Micro Creator and Nano Creator: a 60 day rolling cookie from the most recent affiliate link click, with no lifetime overlay.
5.2 Attribution conflict resolution
Where an attribution conflict arises, the following hierarchy applies.
- Clinic and Practitioner lifetime attribution takes precedence over any other tier's cookie, provided the customer's first attributed interaction was through that partner.
- Top Partner lifetime attribution takes precedence over a Micro or Nano cookie, within its 2 year window.
- Otherwise, the last click within the applicable cookie window governs.
- Only one Partner may receive Commission per order. ORGANO's attribution determination, as recorded in the Partner Dashboard, is final and binding, subject only to demonstrable system error.
5.3 No attribution manipulation
You must not engage in any conduct designed to artificially inflate attribution or circumvent the attribution mechanism, including cookie stuffing, link cloaking for deceptive purposes, or self referral. Such conduct constitutes fraud and is subject to the consequences set out in section 9.
6. Your obligations
6.1 Advertising disclosure
You must clearly and conspicuously disclose your commercial relationship with ORGANO in every piece of ORGANO related content you publish, in accordance with the Disclosure Templates provided in your briefing pack, the Malaysian Communications and Multimedia Content Code guidelines on sponsored content, the Advertising Standards Authority Singapore guidelines on paid endorsements, and the relevant platform's own policies on commercial disclosure.
6.2 Compliance with health advertisement laws
Each ORGANO product is regulated according to its own registered category, and you must observe the category that applies to the product you are promoting. TYGRON™ is registered as a functional food under the Malaysian Food Act 1983 and Food Regulations 1985. You acknowledge that all marketing content you produce is an extension of ORGANO's advertising for regulatory purposes and must comply with the Ministry of Health Malaysia food advertisement guidelines, the Control of Drugs and Cosmetics Regulations 1984, the National Pharmaceutical Regulatory Agency advertising guidelines for food products, and all applicable advertising regulations in Singapore where content is directed at a Singapore audience.
ORGANO reserves the right to require you to immediately remove or amend any content that ORGANO reasonably considers to be in breach of these regulations, without prior notice. Failure to comply with a removal request within 24 hours is a breach of these Terms.
6.3 Approved claims and banned terms
You must at all times adhere to the Approved Claims Library and the Banned Terms and Compliance Document. Without limitation, you must not:
- Make a Therapeutic Claim. You must not represent, expressly or by implication, that any ORGANO product prevents, treats, cures, mitigates or manages any disease, disorder or medical condition. Functional and wellness claims must be used strictly in accordance with the Approved Claims Library.
- Name competitor brands. You must not mention, compare or reference any competing product or brand in your ORGANO related content.
- Disclose confidential information. You must not publish laboratory percentage values, internal testing methodologies, the identity of ORGANO's manufacturing partners, or the specific source of any individual ingredient in an ORGANO product.
- Misstate ingredients. You must not attribute the Vitamin C in TYGRON™ to any specific fruit, plant or botanical source, in words or in imagery, and you must not misstate the composition of any other ORGANO product.
- Undercut the pricing architecture. You must not publish any ORGANO price that is not shown publicly on myorgano.shop, and must not represent or imply a price below the recommended retail price of RM96 per box in Malaysia or its equivalent in Singapore.
6.4 Paid search restrictions
If you run paid search campaigns of any kind, on any platform, you must not bid on ORGANO or TYGRON brand keywords, including misspellings and variations. This restriction applies to every Tier. Paid social advertising that does not target our brand keywords is permitted.
6.5 Prohibition on self referral and code sharing
- Self referral: you must not apply your own affiliate code to your own purchases, whether directly or through an associate, family member or connected party.
- Code sharing: your affiliate code is issued to you personally. You must not share it with any other partner or distribute it to persons who are not your genuine referred customers. Sharing your code in order to accumulate commission constitutes fraud.
7. ORGANO's obligations
ORGANO agrees to:
- Provide you with a unique affiliate code, tracking link, briefing pack and all Programme Documents on account activation;
- Pay Approved Commission in accordance with section 4;
- Maintain the Partner Dashboard and associated attribution infrastructure in reasonable working order, and notify you promptly of any material system outage affecting attribution accuracy;
- Respond to compliance enquiries submitted through the designated channel within 24 hours on Malaysian business days;
- Issue a written first strike correction notice and afford you 7 calendar days to remedy any two strike breach before escalating to termination;
- Dispatch seeding product within 7 business days of account activation;
- Provide performance reporting through the Partner Dashboard;
- Give 30 days' written notice of any amendment to these Terms or to Commission rates.
8. Representations and warranties
8.1 Your representations
You represent and warrant that:
- All content you produce in connection with the Programme is original, does not infringe any third party intellectual property rights, and does not contain defamatory, misleading or unlawful material;
- You have obtained all licences, consents and permissions required to operate your content platform and to participate in commercial affiliate arrangements;
- Your participation does not conflict with any existing agreement to which you are a party, including exclusivity arrangements with competing brands;
- All follower, engagement and audience statistics you disclose are genuine and have not been artificially inflated through purchased followers, bots or engagement pods.
8.2 ORGANO's representations
ORGANO represents and warrants that every ORGANO product offered through the Programme is lawfully registered in its applicable category under Malaysian and Singapore law as at the effective date of these Terms, TYGRON™ being registered as a functional food; that ORGANO holds all licences and registrations required to operate the Programme and to market those products in Malaysia and Singapore; and that ORGANO will process your personal data in accordance with section 12.
9. Termination
9.1 Summary

9.2 Zero tolerance termination, fraud
The following breaches constitute fraud under these Terms and result in immediate termination without prior notice. ORGANO reserves the right to pursue recovery of Commission paid within the 90 day period preceding the date of discovery of the fraud:
- Self referral: applying your own affiliate code to your own purchases, directly or through a connected party;
- Code sharing: distributing your affiliate code to other partners, or to persons who are not genuine referred customers, in order to generate commission.
Recovery of paid commission applies exclusively to the two fraud categories above. Under Malaysian contract law, once a payment obligation has matured and been discharged, ORGANO does not assert a right of unilateral recovery except in cases of fraud. Accordingly, no recovery attaches to zero tolerance breaches that do not constitute fraud.
9.3 Zero tolerance termination, other
The following breaches result in immediate termination without prior notice. No recovery of previously approved and paid Commission applies:
- Making a Therapeutic Claim about any ORGANO product;
- Naming or referencing a competitor brand in ORGANO related content;
- Brand keyword bidding in paid search, in any Tier;
- Disclosing confidential information as defined in section 6.3;
- Publishing health advertisement content in breach of Ministry of Health or National Pharmaceutical Regulatory Agency requirements;
- Failure to remove or amend content within 24 hours of a written ORGANO removal request.
9.4 Two strike termination
The following breaches are subject to a two strike process. On first occurrence, ORGANO issues a written correction notice giving you 7 calendar days to remedy the breach. If it is remedied within 7 days, no further consequence applies. A second breach in the same category, or failure to remedy within 7 days, results in immediate termination. No recovery of previously approved and paid Commission applies:
- Failure to include required advertising disclosure on ORGANO related content;
- Pricing violations, meaning publishing a price not shown publicly on myorgano.shop, or implying a price below the recommended retail price;
- Incorrect use of the ORGANO or TYGRON™ trademarks, or incorrect translations;
- Attributing the Vitamin C in TYGRON™ to a specific fruit, plant or botanical source, or making the equivalent misstatement about any other ORGANO product.
9.5 Termination without cause
Either party may terminate this agreement without cause on 30 calendar days' written notice to the other party, by email to support@myorgano.shop from ORGANO, or to your registered email address from you. On termination without cause, all Approved Commissions accrued through the termination date are paid in the next applicable payout cycle. Pending Commissions auto approve or auto remove in accordance with the Buffer Period rules in section 4.
9.6 Effect of termination
On termination for any reason: all licences granted to you under section 10 cease immediately; you must promptly remove or update all content referencing your affiliate relationship with ORGANO; your partner account is deactivated; your confidentiality obligations under section 11 continue indefinitely; and your data protection rights under section 12 are preserved.
10. Intellectual property
10.1 ORGANO's marks and assets
ORGANO grants you a limited, non exclusive, non transferable, revocable licence, for the duration of these Terms only, to use the ORGANO, TYGRON™ and Herbosomal® trademarks and any visual assets provided in your briefing pack, solely to produce ORGANO related promotional content in accordance with these Terms. This licence terminates automatically and without notice on termination of these Terms for any reason. You acquire no ownership interest in any ORGANO intellectual property through your participation.
10.2 Your content
You retain ownership of original content you create. By participating, you grant ORGANO a non exclusive, royalty free, worldwide licence to repost, share, adapt for format, and reference your content in ORGANO's own marketing channels, with attribution to you. This licence is limited to non commercial brand awareness purposes and expires 12 months after termination of these Terms, after which ORGANO will remove or cease use of your content on written request.
10.3 No reverse licence
Nothing in these Terms grants you any right to sublicense ORGANO's intellectual property or to use it beyond your own ORGANO related promotional content.
11. Confidentiality
11.1 Confidential information
You agree to hold in strict confidence, and not to disclose, publish or use for any purpose other than participation in the Programme, any Confidential Information received from ORGANO. Confidential Information includes wholesale and cost pricing of any ORGANO product; the identity of ORGANO's manufacturing partners; laboratory values, testing methodologies and formulation details marked internal only; the identities, affiliate codes or performance data of other partners; ORGANO's marketing plans, launch timelines and product development pipeline; and any other information ORGANO designates as confidential or that a reasonable person would understand to be confidential in the circumstances.
11.2 Exceptions
Confidentiality obligations do not apply to information that is or becomes publicly available other than through your breach; that you can demonstrate was already known to you before disclosure by ORGANO; or that you are required to disclose by applicable law or court order, provided you give ORGANO the maximum practicable prior written notice.
11.3 Survival
Your confidentiality obligations survive termination of these Terms indefinitely.
12. Data protection
12.1 Data collected
ORGANO collects and processes the following categories of personal data about you in connection with the Programme: full name; email address; contact number; bank account details, being account name, bank name and account number; content platform identity; and performance data, being attributed orders, commission amounts and payout history.
12.2 Purposes and legal basis
ORGANO processes your personal data to administer the Programme and your partner account, to calculate and pay Commission, to monitor compliance with these Terms, and to comply with applicable legal obligations including tax and audit requirements.
The legal basis for processing is, in Malaysia, your explicit and informed consent provided through the checkbox on the application form, in accordance with sections 6 and 10 of the Personal Data Protection Act 2010; and in Singapore, your consent provided through the same mechanism, in accordance with the Personal Data Protection Act 2012.
12.3 Consent mechanism
Consent is obtained through an explicit, standalone checkbox on the application form. The checkbox cannot be pre ticked. By ticking it and submitting your application you provide informed, explicit consent. Your consent, together with a timestamp and IP address, is logged and retained by ORGANO as evidence of consent.
12.4 Retention
Your personal data is retained for the duration of your active participation, and for 7 years following termination, as required by the Inland Revenue Board of Malaysia for tax and audit compliance. Applications that are declined are retained for 12 months and then deleted.
12.5 Your rights
Under applicable data protection legislation you have the right to request access to the personal data ORGANO holds about you; to request correction of inaccurate personal data; to withdraw consent to processing, noting that withdrawal may mean ORGANO can no longer continue your participation; and to request deletion of your personal data, subject to ORGANO's legal retention obligations. Requests should be directed to support@myorgano.shop marked "Data Protection Request". ORGANO will respond within 21 calendar days.
12.6 Third party disclosure
ORGANO will not share your personal data with other partners or with unrelated third parties. Personal data is shared only with the service providers who operate our partner tracking, dashboard and email systems; with our banks and payment providers, for commission disbursement; with our accountants and professional advisers; and with regulatory or government authorities where required by applicable law. Where a provider processes your data outside Malaysia, we require protections no weaker than those in these Terms.
13. Limitation of liability
13.1 Cap on liability
To the maximum extent permitted by applicable law, ORGANO's total aggregate liability to you under or in connection with these Terms, whether in contract, tort or otherwise, is limited to the total Commission paid to you in the 12 months immediately preceding the event giving rise to the claim.
13.2 Exclusions
To the maximum extent permitted by applicable law, ORGANO is not liable for indirect, consequential, incidental, special or punitive damages; loss of anticipated commission, loss of audience, loss of revenue or loss of business opportunity; platform suspension, demonetisation or other consequences imposed by a third party content platform arising from your content choices; or attribution system errors, provided ORGANO has exercised reasonable care in administering the attribution system and promptly remedies demonstrable errors on notice.
13.3 Your responsibility for compliance
You assume full responsibility for ensuring that all content you produce complies with applicable law and these Terms. Compliance with ORGANO's Programme Documents reduces, but does not eliminate, your own legal obligations. ORGANO's provision of compliance materials does not constitute legal advice.
14. Force majeure
Neither party will be in breach of these Terms, nor liable for delay or failure in performance, resulting from events beyond that party's reasonable control, including social media platform outages, policy changes or account suspensions enacted by the platform operator; regulatory action, amendment of applicable law, or government order affecting the marketing, sale or classification of health food products; payment processor downtime or system failure affecting payout processing; and natural disasters, pandemics, civil unrest or acts of God.
The affected party must notify the other in writing within 5 Malaysian business days of the event arising, describing the event and its expected duration. If the force majeure continues for more than 60 consecutive days, either party may terminate these Terms without liability, and all Approved Commissions accrued to the date of termination will be paid in accordance with section 4.
15. Modifications
ORGANO may modify these Terms, the Programme Documents, or Commission rates at any time, on 30 calendar days' written notice by email to your registered address or by notification in your Partner Dashboard.
Your continued participation after expiry of the 30 day notice period constitutes acceptance of the modified Terms. If you do not accept the modifications you must notify ORGANO in writing before expiry of the notice period, and the agreement will be treated as terminated without cause under section 9.5.
Approved Commissions accrued under rates in force before an amendment remain payable at those prior rates. Rate amendments do not apply retrospectively.
16. Governing law and dispute resolution
16.1 Governing law
These Terms are governed by and construed in accordance with the laws of Malaysia. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
16.2 Good faith negotiation
In the event of any dispute, controversy or claim arising out of or relating to these Terms or the Programme, the parties agree first to attempt resolution in good faith through direct correspondence for a period of 30 calendar days from the date on which one party gives written notice of the dispute to the other (the "Negotiation Period").
16.3 Mediation
If the dispute is not resolved within the Negotiation Period, the parties agree to submit it to non binding mediation administered by the Asian International Arbitration Centre in Kuala Lumpur, Malaysia, before initiating formal court proceedings. The costs of mediation are shared equally unless the mediator directs otherwise. Mediation is conducted in English.
16.4 Jurisdiction
If mediation does not resolve the dispute within 60 days of submission, the parties submit to the exclusive jurisdiction of the courts of Malaysia, seated in Kuala Lumpur, except that Singapore based Partners may elect Singapore jurisdiction by delivering written notice to ORGANO within 30 calendar days of the dispute arising; and nothing in this clause prevents either party from seeking urgent injunctive or interim relief from any court of competent jurisdiction.
17. Entire agreement
These Terms, together with the following Programme Documents incorporated by reference, constitute the entire agreement between you and ORGANO with respect to the Programme and supersede all prior representations, negotiations and understandings: the ORGANO Partner Programme Framework, covering commission tiers, attribution mechanics and operational rules; the Approved Claims Library, covering permitted wellness and functional claims; the Banned Terms and Compliance Document, covering prohibited language and the Therapeutic Claim test; the Disclosure Templates, covering required disclosure language by platform and content type; the Hook Angles Document, covering approved content angles; and the UTM Guide, covering link structure and tracking parameters.
In the event of conflict between these Terms and any Programme Document, these Terms prevail.
18. General provisions
- Severability. If any provision of these Terms is held invalid, illegal or unenforceable by a court of competent jurisdiction, the remaining provisions continue in full force and effect.
- Waiver. No failure or delay by ORGANO in exercising any right constitutes a waiver of that right. A waiver in one instance does not constitute a waiver in any future instance.
- Assignment. You may not assign, transfer or subcontract any of your rights or obligations without ORGANO's prior written consent. ORGANO may assign these Terms to any successor entity or in connection with a restructuring, merger or acquisition, with notice to you.
- Relationship of parties. You are an independent contractor. Nothing in these Terms creates an employment, agency, joint venture or partnership relationship between you and ORGANO. You have no authority to bind ORGANO to any obligation.
- Notices. Notices must be in writing. Notices to ORGANO must be sent to support@myorgano.shop. Notices to you will be sent to your registered email address or through your Partner Dashboard.
- Language. These Terms are executed in English. Where a translation is provided for convenience, the English version prevails.
Acceptance
By completing the application form you confirm that you are 18 years of age or older; that you have read and fully understood these Terms; that you have read and understood all Programme Documents referenced in section 17; that you agree to be bound by these Terms in full; that you provide explicit, informed consent to ORGANO's processing of your personal data in accordance with section 12; and that you acknowledge this constitutes a legally binding commercial agreement.
Consent is captured by an explicit checkbox on the application form. The checkbox cannot be pre ticked. Consent is logged with a timestamp and IP address.
