These Terms are the governing instrument for every ORGANO partner relationship. Version 2.0 (12 May 2026) was formally reviewed by a qualified Malaysian legal practitioner. Version 2.1 updated the commission table, the tier names and the attribution rules to match the programme as it is actually operated, and removed references to named third party service providers. Version 2.2 updates the commission rates and Tiers, the commission base, the first order rate (earned once for each customer for each Partner), the orders that earn Commission, the order in which an order is credited to a Partner, partner log in, payout details, and the payout date and schedule, and removes the reference to a third party affiliate platform and the Singapore payout route. Version 2.2 also changes legal terms of the Programme: a refund or edit made before Commission is paid now reduces it (sections 3.2 and 4.3); subscription orders and orders placed outside the online store earn no Commission (section 3.4); no Commission is paid until your payment and identity details are on file (section 4.4); a monthly cap applies in your first 90 days (section 4.6); ORGANO may pause your account for a stated reason and for a limited time (section 9.7); Pending Commission is denied if your account is terminated for fraud (sections 9.2 and 9.7); the Programme is open to Partners in Malaysia only (section 2.2); and the personal data notice in section 12 is updated. Version 2.3 moves the commission rates for each Tier out of these Terms and into each Partner's own Partner Schedule (sections 1 and 3.1), adds campaign offers (section 3.5), and describes the Clinic and Practitioner Tier as clinics, TCM halls and pharmacies, with no limit on a pharmacy's number of branches (section 3.1). Version 2.3 also changes legal terms of the Programme: your commission rates and the discount your affiliate code gives are set in your Partner Schedule, which forms part of these Terms (sections 1 and 3.1); and ORGANO may offer you better terms for stated products and a stated period, confirmed in writing and never lowering your Partner Schedule, and may end such an offer before its last day by written notice (section 3.5); and you may tell your audience about your code's discount and a confirmed campaign offer (sections 6.3 and 9.4). Version 2.4 updates how your link and code count, and how a customer link is made, to match how the Programme runs: every affiliate link now opens checkout with your affiliate code on it. Version 2.4 also changes legal terms of the Programme: ORGANO no longer remembers an affiliate link in the customer's browser, so the 60 day link is removed and an order counts for you through an open customer link or your affiliate code (sections 1, 3.1, 5.1 and 5.2); a Clinic and Practitioner partner's customer link is made at the first order credited to that Partner, and not at a QR code sign-up (section 5.1); if the rates in your Partner Schedule do not suit you, you may end your account without 30 days' notice (section 3.1); and seeding is withdrawn, so ORGANO no longer gives Partners a free box or other free product, in any Tier (sections 3.1, 3.3 and 7). Version 2.5 changes legal terms of the Programme: an order's delivery address no longer makes it self referral (section 6.5); a customer link to a paused Partner does not stop another Partner's code being credited (sections 5.1 and 5.2); and the Commission ORGANO pays you after a pause that ends without a breach covers only orders not credited to another Partner (section 9.7).

Jurisdiction: Malaysia. Governing statutes include the Contracts Act 1950, Personal Data Protection Act 2010, Consumer Protection Act 1999, Communications and Multimedia Act 1998, Food Act 1983, Food Regulations 1985, Medicines (Advertisement and Sale) Act 1956, Control of Drugs and Cosmetics Regulations 1984 and Income Tax Act 1967.

1. Definitions

In these Terms, the following expressions have the meanings assigned below.

• "ORGANO", "we", "our", "us": Fungitech Sdn Bhd, company registration number 202201032914, a company incorporated under the laws of Malaysia, operating the ORGANO brand and its product ranges, of which TYGRON® is the range currently on sale.
• "You", "Partner", "Affiliate": the individual or legal entity approved by ORGANO to participate in the Programme.
• "Programme": the ORGANO Partner Programme governed by these Terms and the supporting Programme Documents referenced in section 17. The Programme covers every ORGANO product sold on the ORGANO online store at myorgano.shop, unless ORGANO tells you a product is excluded. A Partner's link, code and Tier apply to all of those products, including products launched after the Partner is approved. Where the law restricts how a product may be advertised in Malaysia, ORGANO may exclude it with immediate effect by notice, and you must not promote an excluded product.
• "Tier": the classification assigned to a Partner on approval, being one of Clinic and Practitioner, Top Partner, Medium Creator, or Micro Creator, as defined in section 3.
• "Commission": the monetary payment due to you for orders validly attributed to you under section 5.1, whether through your customer link or your affiliate code, calculated in accordance with section 3.
• "Partner Dashboard": the partner dashboard that ORGANO operates on myorgano.shop to track attribution, ledger commission and administer the Programme.
• "Partner Schedule": the statement of your own commission terms that ORGANO sends you in writing when it approves your application and shows in your Partner Dashboard. It sets out your Tier, your first order commission rate, your later order commission rate (if your Tier has one) and the period for which it is earned, and the discount your affiliate code gives your customers. Your Partner Schedule forms part of these Terms, and ORGANO changes it only as sections 3.1 and 15 allow.
• "Approved Commission": commission that has cleared the 30 day post fulfilment buffer and is payable in accordance with section 4.
• "Therapeutic Claim": any representation, express or implied, that any ORGANO product prevents, treats, cures, mitigates or manages any disease, disorder or medical condition, as further defined in the Approved Claims Library.
• "Programme Documents": collectively, these Terms, the ORGANO Partner Programme Framework, the Approved Claims Library, the Banned Terms and Compliance Document, the Disclosure Templates, the Hook Angles Document, and the UTM Guide.

2. Eligibility and acceptance

2.1 Age requirement

Participation is strictly limited to persons aged 18 or older at the time of application. Persons under 18 are ineligible, without exception. Under section 11 of the Contracts Act 1950 (Malaysia), minors lack capacity to enter binding agreements, and no parental or guardian consent can cure that incapacity. Where ORGANO has reasonable doubt as to an applicant's age, ORGANO may require a statutory declaration of age, attested by a Commissioner for Oaths, before the account is activated.

2.2 General eligibility

By submitting an application and being approved, you represent and warrant that:

• You are 18 or older and possess full legal capacity to enter binding agreements under the laws of your home jurisdiction.
• All information provided in your application, including follower counts, audience demographics, content category and platform identity, is accurate, complete and not materially misleading.
• Your primary content platform is operated in compliance with that platform's terms of service.
• You live in Malaysia or, for a company or firm, you are registered in Malaysia, and you have a Malaysian bank account in your own name or your company's name.
• You will comply at all times with Malaysian law governing advertising, consumer protection, personal data and health product promotion.
• For Clinic and Practitioner partners: as at the date of application you operate a medical clinic, pharmacy, traditional Chinese medicine hall or other traditional and complementary medicine practice that operates lawfully in Malaysia and holds every licence or registration the law requires for it; you will notify ORGANO immediately if any such licence or registration is suspended, revoked or surrendered; and you are responsible for making sure that taking part in the Programme, including receiving Commission on products you recommend, is allowed by the rules of your professional body.

2.3 Verification and rejection

ORGANO reserves the right, at any time and without liability, to verify any representation made in your application and to reject or terminate any partnership where application information is found to be materially inaccurate. Approval of an application does not waive ORGANO's right to terminate on discovery of a subsequent inaccuracy.

3. Commission structure

3.1 Tier rates

The commission rates for your Tier are in your Partner Schedule. We send it to you when we approve your application, and it is always shown in your Partner Dashboard. If the rates in your Partner Schedule do not suit you, tell us by email to support@myorgano.shop and we will end your account. In that case the 30 days' notice in section 9.5 does not apply, and the rest of section 9.5 still applies to any Commission you have already earned. The rates in your Partner Schedule may be amended by ORGANO on 30 days' written notice under section 15. Approved Commissions accrued under rates in force before an amendment remain payable at those prior rates. ORGANO may also make you a campaign offer under section 3.5. The Tiers are as follows.

The first order from a customer that is credited to you earns the first order rate, whether the customer is new or already an ORGANO customer, once for each customer for each Partner. If that order is refunded in full or cancelled before its Commission is paid, the customer's next credited order counts as the first order again. A refund in full or a cancellation made after that Commission has been paid does not change which order is the first order. Later orders earn the later order rate in your Partner Schedule, if it has one, for the period it states, and only while your customer link is open. Subscription orders earn no Commission and never count as the first order (section 3.4).

Your Tier is assigned by ORGANO on approval and confirmed to you in writing in your Partner Schedule. Tier assignment is not permanent and is reviewed periodically. Where a Tier is changed, ORGANO sends you an updated Partner Schedule, and the change applies to orders attributed after the date of the change and never retrospectively.

3.2 Calculation basis

Commission is calculated as a percentage of the amount the customer paid for the products on the order, after all discounts applied (including discount codes, welcome bonus credits and referral credits), in Malaysian ringgit, and excluding shipping charges and taxes (including SST). The amount is taken from the order as it stands before Commission is paid, so a refund or an edit to the order made before then is reflected in Commission. No commission accrues on the shipping or tax components of an order.

3.3 No seeding product

ORGANO does not give Partners seeding product or other free product under the Programme, in any Tier.

3.4 Orders that earn Commission

Commission is earned only on one-time purchases placed through the ORGANO online store at myorgano.shop. Subscription orders earn no Commission: neither the first order of a subscription nor any renewal. An order that includes a subscription earns no Commission, even on its one-time items. It counts as a subscription order. A subscription order is never credited to a Partner, so it never counts as the customer's first order credited to you, makes no customer link, and does not start the 2 year period of a customer link under section 5.1. Your partner code gives its discount on one-time purchases only. Orders placed in any other way earn no Commission, including orders taken in person at events, invoices raised for business buyers, and orders on third party marketplaces such as Shopee, Lazada and TikTok Shop.

3.5 Campaign offers

ORGANO may offer you a higher commission rate, a larger customer discount, or free shipping, for stated products and a stated period. We confirm any such offer to you in writing, by email to your registered email address, and it never lowers any rate, or the customer discount, in your Partner Schedule. A campaign offer applies only on the terms ORGANO confirms in writing, and it is shown in your Partner Dashboard while it runs.

The confirmation states the products the offer covers, which may be all products; its first day and its last day, or that it runs until ORGANO ends it under this section; and each commission rate, customer discount and free shipping it gives, with how customers receive them. The offer runs from the start of its first day to the end of its last day, counted in Malaysian time. It applies only to the stated products on an order, and sections 3.2, 3.4 and 4.6 still apply.

An order created during the offer, counted in Malaysian time, earns the campaign commission rate on the stated products, whenever it is paid, fulfilled or approved. An order created before the offer starts or after it ends earns the rates in your Partner Schedule. When the offer ends, your Partner Schedule applies again, and your customers no longer receive the campaign discount or free shipping. ORGANO may end an offer before its last day by telling you in writing, and the offer then ends at the time stated in that notice, which is never earlier than the time the notice is sent.

When you promote a campaign offer, you must describe it as ORGANO confirmed it, including its products, its dates and how customers receive the discount or free shipping, and you must not promote it once it has ended.

4. Commission buffer, approval and payout

4.1 Buffer period

Commission enters PENDING status when an order is attributed to you. It remains Pending for 30 calendar days from the order fulfilment date (the "Buffer Period"). No commission is payable and no payment obligation arises during the Buffer Period. In your Partner Dashboard, Pending Commission and any Approved Commission held under section 4.6 are shown as On hold, and other Approved Commission is shown as Confirmed to pay or Ready for payout until it is Paid. These labels describe the stages in this section 4 and create no separate rights.

4.2 Automatic approval

On expiry of the Buffer Period, commission that has not been removed under section 4.3 automatically advances to APPROVED status, once the customer has paid for the order, in the amount calculated under section 3.2. Approved Commission becomes payable in the next applicable payout cycle, subject to section 4.3, the payment details required by section 4.4 and the cap in section 4.6.

4.3 Refund and cancellation

If an order is refunded in full or cancelled before its Commission is paid, whether during or after the Buffer Period, that Commission is removed and ORGANO owes nothing for it. If part of an order is refunded, or the order is edited, before its Commission is paid, the Commission is recalculated under section 3.2 on what the customer has then paid. Once Commission has been paid, a later refund, cancellation or edit does not reduce it, and ORGANO does not recover it except for fraud under section 9.2. None of this is a clawback of commission already paid.

4.4 Payout schedule

Approved Commissions are paid monthly as follows.

Where the 10th falls on a weekend or a Malaysian public holiday, payment is made on the last working day before the 10th. Any amount that is not paid in a month, because it is under the minimum threshold, because your payment details are not on file, or because a payment was missed, remains payable and is added to the next payout. Amounts held above the cap are dealt with under section 4.6. Before your first payout you must add your payment details in your Partner Dashboard, meaning an account name matching your registered identity, the bank name or transfer identifier, and the account number, together with your identity card number, passport number or company registration number. ORGANO does not pay any Commission until these details are on file. Commission that is payable in the meantime is held, and is paid in the next payout cycle after you add them. Held Commission is never forfeited because your details are missing. ORGANO reminds you by email, and you can add or correct your details at any time, including after your account has been paused or terminated, through your Partner Dashboard or in the way ORGANO tells you when you write to support@myorgano.shop. You must keep these details accurate. ORGANO accepts no liability for delayed or misdirected payments arising from inaccurate details you have provided, or from details changed through a log in to your account, as section 6.6 sets out.

4.5 Tax obligations

You are solely responsible for any income tax, withholding tax or other fiscal obligation arising from commission payments received. ORGANO does not deduct tax at source unless required by applicable law to do so. For example, Malaysian law may require ORGANO to deduct 2% from Commission paid to an individual who received more than RM100,000 from ORGANO in the previous year and pay it to the Inland Revenue Board of Malaysia; any such deduction counts as payment to you. ORGANO may report the payments and benefits it gives you to the Inland Revenue Board of Malaysia and give you a statement of them, for example on Form CP58. Commission amounts include any service tax you may be required to charge on them. You should seek independent tax advice regarding your obligations.

4.6 Cap in your first 90 days

In the first 90 days after your approval, at most RM5,000 of Commission is payable to you for each calendar month, counted in Malaysian time. Any Approved Commission above that amount is held for review. ORGANO reviews it only to check that the orders behind it were validly credited to you and do not involve a breach of section 5.3 or 6.5. Held Commission that passes the review is paid on top of the cap, in a payout of ORGANO's choice and no later than the first payout after your first 90 days end. ORGANO may withhold held Commission only for orders that were not validly credited to you, or if your account is terminated for fraud under section 9.2, in which case section 9.7 applies. ORGANO tells you in writing the amount it withholds and why.

5. Attribution

5.1 Attribution mechanism

Each order that can earn Commission under section 3.4 is credited to one Partner only. ORGANO applies the following in order, and the first that applies decides.

• Open customer link. The customer is linked to a Clinic and Practitioner partner or a Top Partner whose customer link is still open. That Partner is credited with the order.
• Partner code. The order carries a Partner's personal affiliate code, whether the customer typed it at checkout or the Partner's affiliate link put it there. That Partner is credited with the order.
• Otherwise, no Partner is credited with the order.

A customer link to a paused Partner does not stop another Partner's code being credited.

Your affiliate link, and any QR code that carries it, opens checkout with your affiliate code on it. ORGANO does not remember the link after that. If the customer leaves checkout and later orders without your link or your code, that order is not credited to you, unless you have an open customer link for that customer.

A Clinic and Practitioner partner's or a Top Partner's customer link is made at the first order credited to that Partner. The first customer link made for a customer stands, and a customer link is never moved to another Partner while it is open. A customer link is open for 2 years from the customer's first online order credited to that Partner. Once a customer link has closed, no further Commission accrues to that Partner on that customer's orders. Medium Creator and Micro Creator partners have no customer link and earn through their code only.

5.2 Attribution conflict resolution

Where an attribution conflict arises, the order of credit in section 5.1 applies.

• An open customer link to a Partner who is not paused takes precedence over any Partner code. A customer who is linked to one Partner and uses another Partner's code still receives that code's discount, but the credit for the order stays with the linked Partner.
• Only one Partner may receive Commission per order. ORGANO's attribution determination, as recorded in the Partner Dashboard, is final and binding, subject only to demonstrable system error.

5.3 No attribution manipulation

You must not engage in any conduct designed to artificially inflate attribution or circumvent the attribution mechanism, including cookie stuffing, link cloaking for deceptive purposes, or self referral. Such conduct constitutes fraud under section 9.2.

6. Your obligations

6.1 Advertising disclosure

You must clearly and conspicuously disclose your commercial relationship with ORGANO in every piece of ORGANO related content you publish, in accordance with the Disclosure Templates provided in your briefing pack, the Malaysian Communications and Multimedia Content Code guidelines on sponsored content, and the relevant platform's own policies on commercial disclosure.

6.2 Compliance with health advertisement laws

Each ORGANO product is regulated according to its own category, and you must observe the category that applies to the product you are promoting. TYGRON® is a functional food regulated under the Food Act 1983 and the Food Regulations 1985. You acknowledge that all marketing content you produce is an extension of ORGANO's advertising for regulatory purposes and must comply with the Food Act 1983, the Food Regulations 1985 and the Ministry of Health Malaysia food advertisement guidelines; with the Medicines (Advertisement and Sale) Act 1956, which forbids advertising any product as a way to prevent or treat the diseases listed in that Act and applies to you personally as well as to ORGANO; and, for any ORGANO product registered with the National Pharmaceutical Regulatory Agency, with the Control of Drugs and Cosmetics Regulations 1984 and the approval rules of the Medicine Advertisements Board. The Programme is for promotion to audiences in Malaysia. You must not direct ORGANO content at an audience in Singapore, for example through advertising targeted at Singapore or offers addressed to Singapore customers.

ORGANO reserves the right to require you to immediately remove or amend any content that ORGANO reasonably considers to be in breach of these regulations, without prior notice. Failure to comply with a removal request within 24 hours is a breach of these Terms.

6.3 Approved claims and banned terms

You must at all times adhere to the Approved Claims Library and the Banned Terms and Compliance Document. Without limitation, you must not:

• Make a Therapeutic Claim. You must not represent, expressly or by implication, that any ORGANO product prevents, treats, cures, mitigates or manages any disease, disorder or medical condition. Functional and wellness claims must be used strictly in accordance with the Approved Claims Library.
• Name competitor brands. You must not mention, compare or reference any competing product or brand in your ORGANO related content.
• Disclose confidential information. You must not publish laboratory percentage values, internal testing methodologies, the identity of ORGANO's manufacturing partners, or the specific source of any individual ingredient in an ORGANO product.
• Misstate ingredients. You must not attribute the Vitamin C in TYGRON® to any specific fruit, plant or botanical source, in words or in imagery, and you must not misstate the composition of any other ORGANO product.
• Undercut the pricing architecture. You must not publish any ORGANO price that is not shown publicly on myorgano.shop, and must not represent or imply a price below those public prices. This does not stop you telling your audience about the discount your affiliate code gives under your Partner Schedule, or a campaign offer confirmed to you under section 3.5, described as ORGANO confirmed it.

6.4 Paid search restrictions

If you run paid search campaigns of any kind, on any platform, you must not bid on ORGANO or TYGRON® brand keywords, including misspellings and variations. This restriction applies to every Tier. Paid social advertising that does not target our brand keywords is permitted.

6.5 Prohibition on self referral and code sharing

• Self referral: you must not apply your own affiliate code to your own purchases, whether directly or through an associate, family member or connected party. ORGANO treats an order as self referral if it is placed from your own customer account, or if its email address or phone number matches yours, unless you show ORGANO that it came from a genuine customer.
• Code sharing: your affiliate code is issued to you personally. You must not share it with any other partner or distribute it to persons who are not your genuine referred customers. Sharing your code in order to accumulate commission constitutes fraud.

6.6 Account access

You log in to your Partner Dashboard on myorgano.shop with a one-time code sent to your registered email address. There is no password. You must keep access to your registered email address secure and must not share a log in code with anyone. Anyone who logs in with a code sent to your registered email address is treated as you. When your payment details are changed, ORGANO emails your registered email address, and before the first payout to the new details ORGANO confirms the change with you by phone, even if that delays the payout beyond the 10th. If you tell ORGANO that you did not make a change before a payout is made to the new details, ORGANO pays to your previous details. Otherwise ORGANO is not liable for a payment made to details changed through a log in to your account, provided ORGANO sent that email and confirmed the change with you by phone before the first payout to the new details. If ORGANO did not do both, ORGANO bears the loss and still owes you that Commission.

7. ORGANO's obligations

ORGANO agrees to:

• Provide you with a unique affiliate code, affiliate link, briefing pack and all Programme Documents on account activation;
• Pay Approved Commission in accordance with section 4;
• Maintain the Partner Dashboard and associated attribution infrastructure in reasonable working order, and notify you promptly of any material system outage affecting attribution accuracy;
• Respond to compliance enquiries submitted through the designated channel within 24 hours on Malaysian business days;
• Issue a written first strike correction notice and afford you 7 calendar days to remedy any two strike breach before escalating to termination;
• Provide performance reporting through the Partner Dashboard;
• Give 30 days' written notice of any amendment to these Terms or to Commission rates.

8. Representations and warranties

8.1 Your representations

You represent and warrant that:

• All content you produce in connection with the Programme is original, does not infringe any third party intellectual property rights, and does not contain defamatory, misleading or unlawful material;
• You have obtained all licences, consents and permissions required to operate your content platform and to participate in commercial affiliate arrangements;
• Your participation does not conflict with any existing agreement to which you are a party, including exclusivity arrangements with competing brands;
• All follower, engagement and audience statistics you disclose are genuine and have not been artificially inflated through purchased followers, bots or engagement pods.

8.2 ORGANO's representations

ORGANO represents and warrants that every ORGANO product offered through the Programme may lawfully be sold in Malaysia in its applicable category as at the effective date of these Terms, TYGRON® being a functional food; that ORGANO holds all licences and registrations required to operate the Programme and to market those products in Malaysia; and that ORGANO will process your personal data in accordance with section 12.

9. Termination

9.1 Summary

9.2 Zero tolerance termination, fraud

The following breaches constitute fraud under these Terms and result in immediate termination without prior notice. ORGANO reserves the right to pursue recovery of Commission paid within the 90 day period preceding the date of discovery of the fraud:

• Self referral: applying your own affiliate code to your own purchases, directly or through a connected party;
• Code sharing: distributing your affiliate code to other partners, or to persons who are not genuine referred customers, in order to generate commission;
• Attribution manipulation: any conduct described in section 5.3, including cookie stuffing and link cloaking for deceptive purposes.

Recovery of paid commission applies exclusively to the three fraud categories above. Under Malaysian contract law, once a payment obligation has matured and been discharged, ORGANO does not assert a right of unilateral recovery except in cases of fraud. Accordingly, no recovery attaches to zero tolerance breaches that do not constitute fraud.

9.3 Zero tolerance termination, other

The following breaches result in immediate termination without prior notice. No recovery of previously approved and paid Commission applies:

• Making a Therapeutic Claim about any ORGANO product;
• Naming or referencing a competitor brand in ORGANO related content;
• Brand keyword bidding in paid search, in any Tier;
• Disclosing confidential information as defined in section 6.3;
• Publishing health advertisement content in breach of Ministry of Health or National Pharmaceutical Regulatory Agency requirements;
• Failure to remove or amend content within 24 hours of a written ORGANO removal request.

9.4 Two strike termination

The following breaches are subject to a two strike process. On first occurrence, ORGANO issues a written correction notice giving you 7 calendar days to remedy the breach. If it is remedied within 7 days, no further consequence applies. A second breach in the same category, or failure to remedy within 7 days, results in immediate termination. No recovery of previously approved and paid Commission applies:

• Failure to include required advertising disclosure on ORGANO related content;
• Pricing violations, meaning publishing a price not shown publicly on myorgano.shop, or implying a price below the recommended retail price, other than as section 6.3 allows;
• Incorrect use of the ORGANO or TYGRON® trademarks, or incorrect translations;
• Attributing the Vitamin C in TYGRON® to a specific fruit, plant or botanical source, or making the equivalent misstatement about any other ORGANO product.

9.5 Termination without cause

Either party may terminate this agreement without cause on 30 calendar days' written notice to the other party: ORGANO by email to your registered email address, and you by email to support@myorgano.shop. On termination without cause, all Approved Commissions accrued through the termination date are paid in the next applicable payout cycle, subject to sections 4.3, 4.4 and 4.6. Pending Commissions auto approve or auto remove in accordance with the Buffer Period rules in section 4.

9.6 Effect of termination

On termination for any reason: all licences granted to you under section 10 cease immediately; you must promptly remove or update all content referencing your affiliate relationship with ORGANO; your partner account is deactivated, but you can still see your payout history and add or correct your payment details so that Commission still owed to you can be paid; your confidentiality obligations under section 11 continue indefinitely; and your data protection rights under section 12 are preserved.

9.7 Pausing and ending your account

ORGANO may pause your Partner account only: (a) while it looks into a reasonable suspicion that you have breached these Terms; (b) while content it has asked you to remove or amend under section 6.2 is still published; (c) while it deals with a complaint about your ORGANO content from a regulator, a platform or a customer; (d) while it checks your identity or payment details; (e) if your affiliate code is being used in a way that suggests it has been published without your control, for example on a coupon site; or (f) if you ask, for the period you ask for. ORGANO tells you by email when it pauses your account, and why. A pause under (a) to (e) lasts no more than 30 days. ORGANO may extend it once, by up to 30 more days, by telling you in writing before the first 30 days end that its enquiry is still open. By the end of the pause ORGANO either resumes your account or terminates it under this section 9.

While your account is paused, your affiliate code is deactivated and no new Commission of any kind accrues to you from the time of the pause. When your account is resumed, your code is reactivated and Commission accrues again from the time of the resumption. When your account is terminated, for any reason, the same applies from the time it ends, and your customer links also close. If a pause under (a) to (e) ends without ORGANO finding a breach, ORGANO pays you the Commission that orders from your open customer links would have earned during the pause, for orders not credited to another Partner.

Commission that was already Pending when your account was paused or terminated still matures under section 4, unless your account is terminated for fraud under section 9.2. In that case, because ORGANO can no longer rely on the attribution of your orders, that Pending Commission is denied, and ORGANO may withhold Approved Commission not yet paid to you to the extent it could recover that Commission under section 9.2 if it had been paid. ORGANO tells you in writing the grounds for a termination for fraud.

10. Intellectual property

10.1 ORGANO's marks and assets

ORGANO grants you a limited, non exclusive, non transferable, revocable licence, for the duration of these Terms only, to use the ORGANO, TYGRON® and Herbosomal® trademarks and any visual assets provided in your briefing pack, solely to produce ORGANO related promotional content in accordance with these Terms. This licence terminates automatically and without notice on termination of these Terms for any reason. You acquire no ownership interest in any ORGANO intellectual property through your participation.

10.2 Your content

You retain ownership of original content you create. By participating, you grant ORGANO a non exclusive, royalty free, worldwide licence to repost, share, adapt for format, and reference your content in ORGANO's own marketing channels, with attribution to you. This licence is limited to non commercial brand awareness purposes and expires 12 months after termination of these Terms, after which ORGANO will remove or cease use of your content on written request.

10.3 No reverse licence

Nothing in these Terms grants you any right to sublicense ORGANO's intellectual property or to use it beyond your own ORGANO related promotional content.

11. Confidentiality

11.1 Confidential information

You agree to hold in strict confidence, and not to disclose, publish or use for any purpose other than participation in the Programme, any Confidential Information received from ORGANO. Confidential Information includes wholesale and cost pricing of any ORGANO product; the identity of ORGANO's manufacturing partners; laboratory values, testing methodologies and formulation details marked internal only; the identities, affiliate codes or performance data of other partners; ORGANO's marketing plans, launch timelines and product development pipeline; and any other information ORGANO designates as confidential or that a reasonable person would understand to be confidential in the circumstances.

11.2 Exceptions

Confidentiality obligations do not apply to information that is or becomes publicly available other than through your breach; that you can demonstrate was already known to you before disclosure by ORGANO; or that you are required to disclose by applicable law or court order, provided you give ORGANO the maximum practicable prior written notice.

11.3 Survival

Your confidentiality obligations survive termination of these Terms indefinitely.

12. Data protection

12.1 Data collected

ORGANO collects and processes the following categories of personal data about you in connection with the Programme: full name; email address; contact number; bank account details, being account name, bank name and account number; identity card, passport or company registration number, required before your first payout, and your tax identification number if ORGANO asks for it; content platform identity; and performance data, being attributed orders, commission amounts and payout history.

12.2 Purposes and legal basis

ORGANO processes your personal data to review your application, to administer the Programme and your partner account, to calculate and pay Commission, to monitor compliance with these Terms, and to comply with applicable legal obligations including tax and audit requirements. ORGANO uses your identity card, passport or company registration number to confirm that the payout account is yours, to detect self referral and other fraud, and to report payments made to you to the Inland Revenue Board of Malaysia where the law requires. All the personal data listed in section 12.1 is needed to run your partner account. If you do not give it, ORGANO cannot approve your application, and without your payment and identity details ORGANO cannot pay you any Commission.

The legal basis for processing is your explicit and informed consent, given through the checkbox on the application form after notice under this section 12, in accordance with sections 6 and 7 of the Personal Data Protection Act 2010. ORGANO may also process your personal data without your consent where that Act allows it, including where processing is necessary to perform these Terms or to comply with a legal obligation, such as keeping tax records.

12.3 Consent mechanism

Consent is obtained through an explicit, standalone checkbox on the application form. The checkbox cannot be pre ticked. By ticking it and submitting your application you provide informed, explicit consent. ORGANO logs and keeps, as evidence of your consent, the time you gave it, the email address you applied with and the version of these Terms you accepted.

12.4 Retention

Your personal data is retained for the duration of your active participation, and for 7 years following termination, as required by the Inland Revenue Board of Malaysia for tax and audit compliance. Applications that are declined are retained for 12 months and then deleted.

12.5 Your rights

Under applicable data protection legislation you have the right to request access to the personal data ORGANO holds about you; to request correction of inaccurate personal data; to withdraw consent to processing, noting that withdrawal may mean ORGANO can no longer continue your participation; to request deletion of your personal data, subject to ORGANO's legal retention obligations; and to ask ORGANO to send your personal data to another organisation, where that is technically feasible and the data format is compatible. If a personal data breach affecting your data is likely to cause you significant harm, ORGANO will tell you without unnecessary delay, as the law requires. Requests should be directed to support@myorgano.shop marked "Data Protection Request". ORGANO will respond within 21 calendar days.

12.6 Third party disclosure

ORGANO will not share your personal data with other partners or with unrelated third parties, and does not sell it. Personal data is shared only with the service providers who host our online store, partner dashboard and application forms, help us send and answer our emails and messages, send our internal notifications, and keep our accounts; with our banks and payment providers, for commission disbursement; with our accountants, auditors and professional advisers; with regulatory or government authorities, including the Inland Revenue Board of Malaysia, where required by applicable law; and with a buyer of, or successor to, ORGANO's business, which must protect it in the same way. Some of these service providers store or process personal data outside Malaysia. ORGANO transfers your personal data outside Malaysia only as the Personal Data Protection Act 2010 allows, for example where the place it goes to has a law substantially similar to that Act or gives protection at least equivalent to it, or where ORGANO has taken steps, such as a written contract, so that your data is protected there to a standard at least equivalent to that Act. By ticking the checkbox on the application form you also consent to these transfers.

Seksyen 12 (Bahasa Malaysia): Perlindungan data

Ini ialah versi Bahasa Malaysia bagi seksyen 12 Terma ini, iaitu notis yang diberikan oleh ORGANO selaku pengawal data kepada anda selaku subjek data, seperti yang dikehendaki oleh Akta Perlindungan Data Peribadi 2010. Sekiranya terdapat apa-apa perbezaan antara versi Bahasa Malaysia dengan versi bahasa Inggeris, versi bahasa Inggeris hendaklah diguna pakai, seperti yang dinyatakan dalam seksyen 18.

Seksyen 12.1 Data yang dikumpulkan

ORGANO mengumpulkan dan memproses kategori data peribadi yang berikut mengenai anda berkaitan dengan Program: nama penuh; alamat e-mel; nombor telefon untuk dihubungi; butiran akaun bank, iaitu nama akaun, nama bank dan nombor akaun; nombor kad pengenalan, nombor pasport atau nombor pendaftaran syarikat, yang dikehendaki sebelum pembayaran pertama kepada anda, dan nombor pengenalan cukai anda jika diminta oleh ORGANO; identiti platform kandungan anda; dan data prestasi, iaitu pesanan yang diatribusikan kepada anda, amaun komisen dan sejarah pembayaran.

Seksyen 12.2 Tujuan dan asas undang-undang

ORGANO memproses data peribadi anda untuk menyemak permohonan anda, untuk mentadbir Program dan akaun rakan kongsi anda, untuk mengira dan membayar Komisen, untuk memantau pematuhan terhadap Terma ini, dan untuk mematuhi obligasi undang-undang yang terpakai, termasuk keperluan cukai dan audit. ORGANO menggunakan nombor kad pengenalan, nombor pasport atau nombor pendaftaran syarikat anda untuk mengesahkan bahawa akaun pembayaran itu milik anda, untuk mengesan rujukan sendiri dan penipuan lain, dan untuk melaporkan pembayaran yang dibuat kepada anda kepada Lembaga Hasil Dalam Negeri Malaysia jika dikehendaki oleh undang-undang. Semua data peribadi yang disenaraikan dalam seksyen 12.1 diperlukan untuk mengendalikan akaun rakan kongsi anda. Jika anda tidak memberikannya, ORGANO tidak dapat meluluskan permohonan anda, dan tanpa butiran pembayaran dan butiran identiti anda, ORGANO tidak dapat membayar apa-apa Komisen kepada anda.

Asas undang-undang bagi pemprosesan ini ialah persetujuan nyata dan termaklum anda, yang diberikan melalui kotak semak pada borang permohonan selepas notis di bawah seksyen 12 ini, menurut seksyen 6 dan 7 Akta Perlindungan Data Peribadi 2010. ORGANO juga boleh memproses data peribadi anda tanpa persetujuan anda jika dibenarkan oleh Akta itu, termasuk jika pemprosesan itu perlu untuk melaksanakan Terma ini atau untuk mematuhi suatu obligasi undang-undang, seperti menyimpan rekod cukai.

Seksyen 12.3 Mekanisme persetujuan

Persetujuan diperoleh melalui kotak semak yang nyata dan berasingan pada borang permohonan. Kotak semak itu tidak boleh ditanda terlebih dahulu. Dengan menandanya dan menghantar permohonan anda, anda memberikan persetujuan yang termaklum dan nyata. ORGANO merekodkan dan menyimpan, sebagai bukti persetujuan anda, masa anda memberikannya, alamat e-mel yang anda gunakan untuk memohon dan versi Terma ini yang anda terima.

Seksyen 12.4 Penyimpanan

Data peribadi anda disimpan sepanjang tempoh penyertaan aktif anda, dan selama 7 tahun selepas penamatan, seperti yang dikehendaki oleh Lembaga Hasil Dalam Negeri Malaysia bagi pematuhan cukai dan audit. Permohonan yang tidak diluluskan disimpan selama 12 bulan dan kemudian dipadamkan.

Seksyen 12.5 Hak anda

Di bawah perundangan perlindungan data yang terpakai, anda berhak untuk meminta akses kepada data peribadi anda yang dipegang oleh ORGANO; untuk meminta pembetulan data peribadi yang tidak tepat; untuk menarik balik persetujuan bagi pemprosesan, dengan mengambil maklum bahawa penarikan balik itu mungkin menyebabkan ORGANO tidak lagi dapat meneruskan penyertaan anda; untuk meminta pemadaman data peribadi anda, tertakluk kepada obligasi penyimpanan ORGANO di bawah undang-undang; dan untuk meminta ORGANO menghantar data peribadi anda kepada organisasi lain, jika hal itu dapat dilaksanakan secara teknikal dan format data itu serasi. Jika suatu pelanggaran data peribadi yang menjejaskan data anda berkemungkinan mengakibatkan kemudaratan yang ketara kepada anda, ORGANO akan memberitahu anda tanpa kelengahan yang tidak perlu, seperti yang dikehendaki oleh undang-undang. Permintaan hendaklah dihantar ke support@myorgano.shop dengan tajuk "Data Protection Request" (Permintaan Perlindungan Data). ORGANO akan memberikan jawapan dalam tempoh 21 hari kalendar.

Seksyen 12.6 Penzahiran kepada pihak ketiga

ORGANO tidak akan berkongsi data peribadi anda dengan rakan kongsi lain atau dengan pihak ketiga yang tidak berkaitan, dan tidak menjualnya. Data peribadi dikongsi hanya dengan pembekal perkhidmatan yang mengehos kedai dalam talian, papan pemuka rakan kongsi dan borang permohonan kami, yang membantu kami menghantar dan menjawab e-mel dan mesej kami, yang menghantar pemberitahuan dalaman kami, dan yang menyelenggara akaun kami; dengan bank dan penyedia pembayaran kami, bagi pembayaran komisen; dengan akauntan, juruaudit dan penasihat profesional kami; dengan pihak berkuasa kawal selia atau kerajaan, termasuk Lembaga Hasil Dalam Negeri Malaysia, jika dikehendaki oleh undang-undang yang terpakai; dan dengan pembeli atau pengganti perniagaan ORGANO, yang mesti melindunginya dengan cara yang sama. Sebahagian daripada pembekal perkhidmatan ini menyimpan atau memproses data peribadi di luar Malaysia. ORGANO memindahkan data peribadi anda ke luar Malaysia hanya sebagaimana yang dibenarkan oleh Akta Perlindungan Data Peribadi 2010, contohnya jika di tempat data itu dipindahkan ada undang-undang yang sebahagian besarnya serupa dengan Akta itu atau tempat itu memberikan perlindungan yang sekurang-kurangnya setara dengannya, atau jika ORGANO telah mengambil langkah, seperti kontrak bertulis, supaya data anda dilindungi di tempat itu pada tahap yang sekurang-kurangnya setara dengan Akta itu. Dengan menanda kotak semak pada borang permohonan, anda juga bersetuju dengan pemindahan ini.

13. Limitation of liability

13.1 Cap on liability

To the maximum extent permitted by applicable law, ORGANO's total aggregate liability to you under or in connection with these Terms, whether in contract, tort or otherwise, is limited to the total Commission paid to you in the 12 months immediately preceding the event giving rise to the claim. This limit does not apply to Commission that is payable to you under these Terms, which ORGANO must pay in full.

13.2 Exclusions

To the maximum extent permitted by applicable law, ORGANO is not liable for indirect, consequential, incidental, special or punitive damages; loss of anticipated commission, loss of audience, loss of revenue or loss of business opportunity; platform suspension, demonetisation or other consequences imposed by a third party content platform arising from your content choices; or attribution system errors, provided ORGANO has exercised reasonable care in administering the attribution system and promptly remedies demonstrable errors on notice.

13.3 Your responsibility for compliance

You assume full responsibility for ensuring that all content you produce complies with applicable law and these Terms. Compliance with ORGANO's Programme Documents reduces, but does not eliminate, your own legal obligations. ORGANO's provision of compliance materials does not constitute legal advice.

14. Force majeure

Neither party will be in breach of these Terms, nor liable for delay or failure in performance, resulting from events beyond that party's reasonable control, including social media platform outages, policy changes or account suspensions enacted by the platform operator; regulatory action, amendment of applicable law, or government order affecting the marketing, sale or classification of health food products; payment processor downtime or system failure affecting payout processing; and natural disasters, pandemics, civil unrest or acts of God.

The affected party must notify the other in writing within 5 Malaysian business days of the event arising, describing the event and its expected duration. If the force majeure continues for more than 60 consecutive days, either party may terminate these Terms without liability, and all Approved Commissions accrued to the date of termination will be paid in accordance with section 4.

15. Modifications

ORGANO may modify these Terms, the Programme Documents, or Commission rates at any time, on 30 calendar days' written notice by email to your registered address or by notification in your Partner Dashboard.

Your continued participation after expiry of the 30 day notice period constitutes acceptance of the modified Terms. If you do not accept the modifications you must notify ORGANO in writing before expiry of the notice period, and the agreement will be treated as terminated without cause under section 9.5.

Approved Commissions accrued under rates in force before an amendment remain payable at those prior rates. Rate amendments do not apply retrospectively.

16. Governing law and dispute resolution

16.1 Governing law

These Terms are governed by and construed in accordance with the laws of Malaysia. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

16.2 Good faith negotiation

In the event of any dispute, controversy or claim arising out of or relating to these Terms or the Programme, the parties agree first to attempt resolution in good faith through direct correspondence for a period of 30 calendar days from the date on which one party gives written notice of the dispute to the other (the "Negotiation Period").

16.3 Mediation

If the dispute is not resolved within the Negotiation Period, the parties agree to submit it to non binding mediation administered by the Asian International Arbitration Centre in Kuala Lumpur, Malaysia, before initiating formal court proceedings. The costs of mediation are shared equally unless the mediator directs otherwise. Mediation is conducted in English.

16.4 Jurisdiction

If mediation does not resolve the dispute within 60 days of submission, the parties submit to the exclusive jurisdiction of the courts of Malaysia, seated in Kuala Lumpur. Nothing in this clause prevents either party from seeking urgent injunctive or interim relief from any court of competent jurisdiction.

17. Entire agreement

These Terms, together with the following Programme Documents incorporated by reference, constitute the entire agreement between you and ORGANO with respect to the Programme and supersede all prior representations, negotiations and understandings: the ORGANO Partner Programme Framework, covering commission tiers, attribution mechanics and operational rules; the Approved Claims Library, covering permitted wellness and functional claims; the Banned Terms and Compliance Document, covering prohibited language and the Therapeutic Claim test; the Disclosure Templates, covering required disclosure language by platform and content type; the Hook Angles Document, covering approved content angles; and the UTM Guide, covering link structure and tracking parameters.

In the event of conflict between these Terms and any Programme Document, these Terms prevail.

18. General provisions

• Severability. If any provision of these Terms is held invalid, illegal or unenforceable by a court of competent jurisdiction, the remaining provisions continue in full force and effect.
• Waiver. No failure or delay by ORGANO in exercising any right constitutes a waiver of that right. A waiver in one instance does not constitute a waiver in any future instance.
• Assignment. You may not assign, transfer or subcontract any of your rights or obligations without ORGANO's prior written consent. ORGANO may assign these Terms to any successor entity or in connection with a restructuring, merger or acquisition, with notice to you.
• Relationship of parties. You are an independent contractor. Nothing in these Terms creates an employment, agency, joint venture or partnership relationship between you and ORGANO. You have no authority to bind ORGANO to any obligation.
• Notices. Notices must be in writing. Notices to ORGANO must be sent to support@myorgano.shop. Notices to you will be sent to your registered email address or through your Partner Dashboard.
• Language. These Terms are made in English. The Acceptance section and section 12 are also given in Bahasa Malaysia, as the Personal Data Protection Act 2010 requires, and ORGANO may provide translations of the rest of these Terms for convenience. If a translation differs from the English, the English version prevails.

Acceptance

By completing the application form you confirm that you are 18 years of age or older; that you have read and fully understood these Terms; that you will read and follow the Programme Documents referenced in section 17, which ORGANO gives you on approval; that you agree to be bound by these Terms in full; that you provide explicit, informed consent to ORGANO's processing of your personal data in accordance with section 12; and that you acknowledge this constitutes a legally binding commercial agreement.

Consent is captured by an explicit checkbox on the application form. The checkbox cannot be pre ticked. Consent is logged with the time, the email address you applied with and the version of these Terms.

Penerimaan (Bahasa Malaysia)

Ini ialah versi Bahasa Malaysia bagi seksyen Penerimaan di atas, seperti yang dikehendaki oleh Akta Perlindungan Data Peribadi 2010. Sekiranya terdapat apa-apa perbezaan antara versi Bahasa Malaysia dengan versi bahasa Inggeris, versi bahasa Inggeris hendaklah diguna pakai, seperti yang dinyatakan dalam seksyen 18.

Dengan melengkapkan borang permohonan, anda mengesahkan bahawa anda berumur 18 tahun atau lebih; bahawa anda telah membaca dan memahami sepenuhnya Terma ini; bahawa anda akan membaca dan mematuhi Dokumen Program yang dirujuk dalam seksyen 17, yang akan diberikan oleh ORGANO kepada anda apabila permohonan anda diluluskan; bahawa anda bersetuju untuk terikat sepenuhnya dengan Terma ini; bahawa anda memberikan persetujuan yang nyata dan termaklum bagi pemprosesan data peribadi anda oleh ORGANO menurut seksyen 12; dan bahawa anda mengakui bahawa ini ialah suatu perjanjian komersial yang mengikat di sisi undang-undang.

Persetujuan diperoleh melalui kotak semak yang nyata pada borang permohonan. Kotak semak itu tidak boleh ditanda terlebih dahulu. Persetujuan direkodkan bersama masa, alamat e-mel yang anda gunakan untuk memohon dan versi Terma ini.

Also changes legal terms: ORGANO no longer remembers an affiliate link in the customer's browser; a Partner whose Partner Schedule does not suit them may end their account without 30 days' notice (section 3.1); and seeding is withdrawn in every Tier, so ORGANO no longer gives Partners a free box or other free product, with the Seeding column of section 3.1, section 3.3's dispatch promise and the matching obligation in section 7 removed. The rate figures in the 2.1 row of this table are removed, and the rest of that row is as published. Trademark mark added in section 6.4.
2.3	19 October 2026	Commission rates for each Tier moved out of these Terms into each Partner's Partner Schedule, which ORGANO sends on approval and shows in the Partner Dashboard; the Tier descriptions, the customer link and 60 day link, and seeding stay in section 3.1. Partner Schedule defined. Campaign offers added: ORGANO may offer a Partner a higher commission rate, a larger customer discount or free shipping, for stated products and a stated period, confirmed in writing and never lowering the Partner Schedule, and an order keeps the commission rate that applied when it was created. Clinic and Practitioner Tier now described as clinics, TCM halls and pharmacies, with no limit on a pharmacy's number of branches. Also changes legal terms: commission rates and the code discount are set for each Partner in the Partner Schedule, which forms part of these Terms; and campaign offers are made, and may be ended early, in writing. Partners may describe their code discount and confirmed campaign offers (sections 6.3 and 9.4).
2.2	15 October 2026	Published when the Programme moved to ORGANO's own partner system. Commission rates and Tiers reset: Nano Creator withdrawn, Medium Creator added, Micro Creator now under 50,000 followers, and later order Commission for Top Partners and Clinic and Practitioner partners for 2 years from the customer's first online order credited to the Partner. Commission base now the amount the customer paid for the products after all discounts, excluding shipping and taxes. First order rate earned once for each customer for each Partner, new or existing customer.
